Terms of Use

These Terms of Use (“Terms”) govern your access to and use of labsfoundations.org and related pages, forms, and features (the “Services”), operated by Labs Foundations, Inc. (“Labs Foundations,” “the Foundation,” “we,” “us,” or “our”), a Delaware nonprofit corporation that is progressing toward recognition as a tax-exempt public charity under Section 501(c)(3) of the Internal Revenue Code (a separate status, currently pending and not yet granted), and the philanthropic arm of Labs Companies, Inc. By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Who we are

Labs Foundations, Inc. is a Delaware nonprofit corporation and is currently progressing toward recognition as a tax-exempt public charity under Section 501(c)(3) of the Internal Revenue Code. Incorporation and federal tax-exemption are separate statuses: the Delaware incorporation is complete, and 501(c)(3) recognition is pending and not yet granted. It is the philanthropic arm of Labs Companies, Inc., funded in part through a non-dilutive, mission-locked 1% equity position held for the Foundation, and it directs charitable activity across the 7 Frontier Foundations and its impact arms.

2. Acceptance & eligibility

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. You must be at least 13 years old to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

3. Purpose of the Services

The Services are provided for general informational purposes about the Foundation’s mission, structure, programs, and initiatives, and to let you contact us, subscribe to updates, or support our work. Content may be added, changed, or removed at any time without notice.

4. Donations

If you choose to make a gift, you authorize us and our payment processors to charge the amount you specify. Except where required by law, donations are non-refundable; if you believe a gift was made in error, contact us promptly and we will work with you in good faith. We will provide an acknowledgment for gifts as appropriate. Because the Foundation’s application for recognition under Section 501(c)(3) is pending and has not yet been granted, gifts may not be tax-deductible unless and until the IRS grants recognition. Whether and to what extent any gift is tax-deductible depends on your circumstances and applicable law; we do not provide individual tax advice. Restricted gifts are used consistent with any designation, subject to the Foundation’s right to redirect funds where a designated purpose becomes impractical, in a manner consistent with our charitable purpose and applicable law.

5. No offer of securities

Nothing on the Services is an offer to sell, or a solicitation of an offer to buy, any security, membership interest, or other financial instrument in Labs Foundations, Labs Companies, Inc., or any affiliated entity. References to the Foundation’s equity position or to any valuation are descriptive of our structure and are provided for informational purposes only.

6. No professional advice

Content on the Services is not legal, tax, financial, investment, or other professional advice, and should not be relied upon as such. Consult your own advisors before acting on anything you read here.

7. Intellectual property

The Labs Foundations name, logos, marks, text, graphics, and other content on the Services are owned by or licensed to Labs Foundations, Labs Companies, Inc., and their affiliates, and are protected by intellectual-property laws. You may view and share this content for personal, non-commercial, informational purposes with attribution, but you may not otherwise copy, modify, distribute, or use it — including any marks — without our prior written permission.

8. Acceptable use

You agree not to: use the Services unlawfully or in violation of these Terms; attempt to gain unauthorized access to our systems; interfere with or disrupt the Services; introduce malware; scrape, harvest, or collect information about others; misrepresent your affiliation; or use the Services to send spam or unlawful, deceptive, or harmful content.

9. Your submissions

If you send us ideas, feedback, messages, or other materials, you grant Labs Foundations a non-exclusive, royalty-free, worldwide license to use them to operate and improve the Foundation and its mission, and you represent that you have the right to provide them. Please do not send confidential information or personal information of others through the Services.

10. Third-party links & services

The Services may link to or rely on third-party websites and services, including Labs Companies, Inc. and payment processors. We do not control and are not responsible for third-party content, policies, or practices; your use of them is governed by their terms.

11. Forward-looking statements

Some content may describe plans, goals, or expectations for the future. These are forward-looking and subject to change; actual outcomes may differ, and we undertake no obligation to update them except as required by law.

12. Disclaimer of warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that content is accurate or current.

13. Limitation of liability

To the fullest extent permitted by law, Labs Foundations and its officers, directors, employees, volunteers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars (US$100).

14. Indemnification

You agree to indemnify and hold harmless Labs Foundations and its officers, directors, employees, volunteers, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these Terms or the Services, subject to any mandatory rights you may have under the law of your place of residence.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms.

17. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Labs Foundations regarding the Services. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with an organizational change.
